Terms of Use

These Terms of Use ("Terms") govern your access to and use of the AiTransClips website, web application, and related services (the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

The Service is operated by TechLuminary, with a registered address at TechLuminary, Số 44, Khóm 7, Phường 1, Thành phố Bạc Liêu, Tỉnh Bạc Liêu, Việt Nam ("we", "us", or "our"). You can contact us at support@techluminary.com.vn.

You must be at least 16 years old (or the minimum age of digital consent in your jurisdiction) to use the Service. If you are under the age of majority where you live, you may use the Service only with the involvement of a parent or guardian.

You agree to provide accurate account information, keep your credentials confidential, and notify us promptly of any unauthorized use. You are responsible for activity that occurs under your account.

AiTransClips lets you transcribe, translate, caption, re-voice, and export video and audio. Features, quotas, and limits depend on your plan and may change over time. We may modify, add, or discontinue features, and we may impose reasonable limits to protect the Service and other users.

Some features rely on third-party providers, including AI, translation, text-to-speech, storage, and payment services. Availability and output may vary based on those providers.

Paid plans are billed on a recurring basis (for example, monthly) in the currency shown at checkout, which may include USD or VND. By subscribing, you authorize us and our payment providers to charge your selected payment method on each renewal until you cancel.

Subscriptions renew automatically unless cancelled before the end of the current billing period. Cancelling stops future renewals, and you retain access for the remainder of the period you have paid for. Where a plan includes usage allowances, unused allowances do not carry over unless we say otherwise.

Except where required by law or expressly stated by us, payments are non-refundable. If you believe you were charged in error, contact us promptly so we can review it. Prices may change, and we will give notice where required before a change affects your subscription.

You agree not to use the Service to:

• Upload or process content you do not have the rights to use, or that infringes the intellectual property, privacy, or other rights of others.
• Create or distribute unlawful content, including content that is defamatory, harassing, hateful, or sexually exploitative, or any non-consensual intimate imagery.
• Impersonate any person or organization, or misrepresent your affiliation.
• Violate the terms of any platform you source content from, including video hosting platforms.
• Reverse engineer, scrape, overload, or attempt to gain unauthorized access to the Service or its systems.
• Resell, sublicense, or provide the Service to third parties without our written authorization.
• Use the Service in a way that could harm the Service, other users, or any third party, or that violates applicable law.

We may investigate suspected violations and may suspend or terminate access as described in Section 11.

You retain ownership of the video, audio, text, and other materials you submit to the Service ("Your Content"), and of the output generated from it, subject to any rights held by third parties and to the terms of any platform you sourced it from.

You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, and display Your Content solely to operate, provide, secure, and improve the Service, and to comply with law. This license lasts only as long as needed for those purposes, and ends when you delete Your Content or your account, except for residual backup copies and records we must retain by law.

You represent and warrant that you have all rights and permissions necessary to submit Your Content and to grant this license, and that doing so does not violate any law or third-party right.

The Service uses automated and AI-based systems to transcribe, translate, re-voice, and caption content. Output may contain errors, omissions, or mistranslations, and may not accurately reflect the meaning, tone, or intent of the original. You are responsible for reviewing and correcting output before publishing or relying on it.

You are also responsible for how you use output, including ensuring it is accurate and lawful for your audience and use case. We do not guarantee that output is free of third-party rights or that it is eligible for copyright or other protection in any jurisdiction.

The Service, including our software, design, brand, and content (but excluding Your Content), is owned by us or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. All rights not expressly granted are reserved.

The Service may let you connect third-party services, such as Google Drive, or may link to third-party websites. Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services, and you use them at your own risk.

You may stop using the Service at any time and may cancel your subscription or close your account from the dashboard. We may suspend or terminate your access if you violate these Terms, if required by law, or if we reasonably believe your use poses a risk to the Service or others. Where practicable, we will give you notice and an opportunity to resolve the issue.

On termination, your right to use the Service ends. Sections that by their nature should survive termination — including payment obligations, intellectual property, disclaimers, limitation of liability, and indemnification — will continue to apply.

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any output will be accurate or suitable for your purposes.

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service.

To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim, or (b) one hundred US dollars (USD 100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You agree to indemnify, defend, and hold harmless TechLuminary and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to Your Content, your use of the Service, or your violation of these Terms or of any third-party right.

These Terms are governed by the laws of Viet Nam, without regard to its conflict-of-law rules. Subject to any mandatory consumer protections in your jurisdiction, you and we agree that the competent courts located in Bạc Liêu, Viet Nam, will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

Before starting formal proceedings, we encourage you to contact us so we can try to resolve the issue informally.

We may update these Terms from time to time. When we make material changes, we will take reasonable steps to notify you, such as by posting a notice in the Service or emailing you, and we will update the effective date above. Your continued use of the Service after an update means you accept the revised Terms.
